TERMS AND CONDITIONS

1. Parties and Acceptance

1.1 These Terms and Conditions (“Terms”) govern access to and use of the website www.fysitech.com and the mobile application “TFA – The Farmers App” (together, the “Platform”), owned and operated by FYSI Technologies Private Limited, an Indian company (“Company”, “we”, “us”, “our”).fysitech+1​

2. Eligibility and User Categories

2.1 You confirm that you are competent to contract under the Indian Contract Act, 1872 (i.e., at least 18 years of age and of sound mind) and are not disqualified from contracting under any applicable law.registerkaro​

2.2 The Platform may be used by:

  • Individual farmers and livestock owners.
  • Traders, agents, and aggregators.
  • Veterinarians and service providers.
  • Financial institutions, insurers and their authorized representatives.

2.3 If you register or use the Platform on behalf of a business, entity or farm, you represent that you have the authority to bind that entity and that references to “you” include that entity.genieai​

3. Services and Role of the Company

3.1 The Platform provides technology tools including:

  • Digital marketplace for cattle and related livestock and products (listing, discovery, communication, and transaction support).
  • Herd health, medical record and lifecycle management tools for cattle and pets.
  • Veterinary and dairy management features, including on‑demand or scheduled consultations and health alerts.
  • Access to information and application interfaces for loans, subsidies, insurance and related financial products offered by third parties.
  • Integration with gadgets, trackers and IoT devices for monitoring animals and related assets.juro+1​

3.2 Unless expressly stated in a specific contract or addendum, the Company acts as a technology and facilitation platform and is not a buyer, seller, lender, insurer, or veterinary service provider; any contract for sale, purchase, lending, insurance, or treatment is directly between the relevant users/partners.fysitech+1​

3.3 The Company may introduce new services or modify, suspend or discontinue existing services, features or functionalities at any time, with or without prior notice, provided such changes comply with applicable law.digitate+1​

3A. Prohibited Use: Slaughter Ecosystem

3A.1 The Platform is designed to support ethical agriculture, dairy, breeding, health management and related activities only and is not intended to support or promote animal slaughter, meat processing, or any associated commercial slaughter ecosystem.registerkaro+1​

3A.2 The Company does not engage in, facilitate, broker, advertise, or otherwise participate in any slaughter‑related transactions or services and expressly disassociates itself from such activities.fysitech+1​

3A.3 Users are strictly prohibited from using the Platform for:

  • Listing, buying, selling or sourcing animals specifically for slaughter or meat processing.
  • Coordinating transport, logistics or services that are directly and primarily aimed at slaughter operations.
  • Any other conduct that directly supports commercial slaughter ecosystems through the Platform.registerkaro+1​

3A.4 Any user found or reasonably suspected to be using the Platform for slaughter‑related purposes may have their account and access immediately suspended or terminated, and relevant information may be reported to competent authorities where required by law.secureprivacy+1​

3A.5 To the fullest extent permitted by law, the Company is not liable for any slaughter‑related activities carried out independently by users outside the scope of these Terms or in violation of this clause, and all such activities are entirely at the risk and responsibility of the users involved.termsfeed+1​

4. Account Registration, Security and Access

4.1 To use certain features, you must create an account by providing accurate and complete information (including name, mobile number, email, business details and KYC information where required) and keep such information updated.genieai​

4.2 You are responsible for maintaining the confidentiality and security of your login credentials and for all activities that occur under your account, whether or not authorized by you.termsfeed​

4.3 You must immediately notify the Company of any suspected unauthorized access, security breach or misuse of your account; the Company may require additional verification or temporarily disable access to protect you and the Platform.privacyworld+1​

4.4 The Company may implement authentication and security controls (including OTP, device binding, consent records and logs) and you agree to cooperate with such measures.privacyworld​

5. User Obligations and Acceptable Use

5.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms and applicable laws, including livestock, animal welfare, veterinary practice, financial services and data protection laws.secureprivacy+1​

5.2 You shall not, directly or indirectly:

  • Post or transmit any content that is false, misleading, fraudulent, obscene, defamatory, hateful, discriminatory, or otherwise unlawful.
  • List or trade animals or products in violation of animal welfare norms, transport regulations, local restrictions or any applicable statute or government notification.
  • Misrepresent the health, age, breed, ownership, productivity, or vaccination status of any animal.
  • Harass, threaten or abuse other users, veterinarians, staff, partners or support personnel.
  • Introduce viruses, malware, or any harmful code, or attempt to interfere with, disrupt, or overload the Platform or associated networks.
  • Attempt unauthorized access to any account, data, system or network, including by scraping, reverse engineering, or bypassing technical protections.
  • Use automated systems (bots, scripts) to access the Platform in a way that imposes unreasonable load or violates explicit API terms.digitate+1​

5.3 You shall not use the Platform in any manner that directly or indirectly supports or promotes animal slaughter or related commercial slaughter ecosystems, which are expressly prohibited under these Terms.secureprivacy+1​

5.4 You are solely responsible for the content, data and listings you provide and for compliance with all applicable obligations (including licences, registrations, and permits for cattle trade, transport, and veterinary practice).fysitech+1​

6. Marketplace, Listings and Transactions

6.1 You understand that:

  • The Platform provides listing, communication and transaction‑support tools but does not control the accuracy, completeness, quality or legality of listings, nor the ability of users to complete transactions.
  • Listings and prices are set by users or partners and may change at any time.fysitech+1​

6.2 Sellers and listers undertake that they:

  • Have legal title or necessary authority to sell or list the animals or devices.
  • Provide accurate, non‑misleading information and disclose known health issues, defects or restrictions.
  • Comply with all applicable laws and documentation requirements for sale and transfer.registerkaro+1​

6.3 Buyers and acquirers acknowledge that they:

  • Are responsible for conducting independent due diligence (including veterinary inspection, documentation verification and physical inspection where appropriate) before purchase.
  • Bear the risk of their own decision and cannot hold the Company liable for any misrepresentation by other users, unless the Company has expressly assumed such risk in a separate written agreement.termsfeed+1​

6.4 Any dispute between users regarding quality, payment, delivery, returns, or warranties is to be resolved between those users; the Company may, at its discretion, offer tools or support for resolution but is under no obligation to do so unless mandated by law or a specific policy.registerkaro+1​

7. Veterinary, Advisory and Health‑Related Services

7.1 Any veterinary or advisory services accessed through the Platform may be provided by independent veterinarians or service providers who are solely responsible for their professional advice and compliance with applicable laws and codes of conduct.genieai+1​

7.2 Health insights, alerts, reminders and analytics generated from records or IoT data are intended to support farm management but do not constitute medical diagnosis or emergency care; they must be interpreted by competent veterinary professionals.juro+1​

7.3 The Company is not responsible for treatment decisions, outcomes, delays in seeking care, or failure to act on alerts or notifications.genieai​

8. Financial Services, Loans, Subsidies and Insurance

8.1 The Platform may display information about or provide interfaces for:

  • Loans, credit lines or financing from banks, NBFCs or other regulated entities.
  • Government or institutional subsidies and schemes.
  • Insurance products for cattle, farm assets or related risks.lawrbit+1​

8.2 The Company does not itself provide regulated financial or insurance services (unless specifically licensed and disclosed) and acts as a technology and facilitation partner or “lending service provider” where applicable.argus-p+1​

8.3 Applications, eligibility, sanction, disbursal, premium, coverage and claim decisions are determined exclusively by the relevant financial or insurance partner in accordance with applicable laws, including Reserve Bank of India and insurance regulations.rbi+1​

8.4 Where required by law, users will be presented with clear Key Fact Statements, costs, consents and documentation, and all payments and disbursals shall flow directly between the regulated entity and the user, not to Company accounts except permissible facilitation fees.lawrbit+1​

8.5 The Company is not liable for non‑approval, delays, interest rates, charges, claim repudiation or other decisions of financial partners, nor for any breach of law or misconduct by such third parties; your relationship with them will be governed by separate contracts and disclosures.argus-p+1​

9. IoT Devices, Sensors and Connectivity

9.1 Where IoT devices, trackers or sensors are supplied or integrated, their performance may depend on power, mobile network, GPS, environment, installation quality and other factors beyond the Company’s control.juro+1​

9.2 Unless otherwise agreed in a separate device or service‑level contract, the Company does not guarantee:

  • Uninterrupted availability of device data.
  • Continuous connectivity or real‑time updates.
  • Accuracy or completeness of sensor or derived data.digitate+1​

9.3 You agree to:

  • Install and maintain devices as per guidelines.
  • Use them in compliance with animal welfare and local regulations.
  • Not tamper with hardware, firmware or connectivity in an unauthorized manner.digitate+1​

10. Fees, Payments and Taxes

10.1 Certain services may be subject to fees, commissions, subscriptions or other charges as displayed within the Platform or agreed separately; you agree to pay all applicable amounts, taxes and charges in a timely manner.digitate+1​

10.2 Payments may be processed via third‑party payment gateways or service providers; such providers may have their own terms and security processes, and you agree to comply with them.termsfeed​

10.3 The Company may suspend or restrict services in case of non‑payment, chargebacks or suspected fraud; where legally required, appropriate notices will be provided.digitate​

11. Intellectual Property and License

11.1 All rights, title and interest in and to the Platform, including its software, code, design, text, graphics, trademarks, service marks and logos, are owned by or licensed to the Company and are protected under applicable IP laws.termsfeed+1​

11.2 Subject to your compliance with these Terms, the Company grants you a limited, non‑exclusive, non‑transferable, revocable license to use the Platform for your own legitimate agricultural, business or personal purposes; no other rights are granted.genieai​

  • Copy, modify, adapt, translate, reverse engineer, decompile or disassemble the Platform except to the limited extent allowed by mandatory law.
  • Remove or alter any proprietary notices or marks.

12. User Content, Ownership and Licence

12.1 You retain ownership of content you submit or upload (including listings, photos, documents, medical records, farm data and messages). You grant the Company a worldwide, non‑exclusive, royalty‑free licence to use, host, store, reproduce, process, modify and display such content to operate, improve and promote the Platform and services.fysitech+1​

12.2 You confirm that:

  • You have all necessary rights, consents and authorizations to upload the content.
  • The content does not infringe any third‑party rights or violate applicable law.
  • You have obtained appropriate consents for personal data contained in such content, where required.privacyworld+1​

12.3 The Company may remove or disable access to content that it reasonably believes violates these Terms, any law or the rights of others, or pursuant to lawful requests or orders from authorities.registerkaro​

13. Data Protection, Privacy and Cookies

13.1 The collection, use, storage, sharing and protection of personal data and IoT data are described in the Privacy Policy, which forms an integral part of these Terms and is deemed accepted when you use the Platform.secureprivacy+1​

13.2 You acknowledge that personal data may be processed for specified purposes (including service provision, analytics, fraud prevention and regulatory compliance) in accordance with India’s Digital Personal Data Protection Act, 2023 and applicable rules, where in force.meity+1​

14. Disclaimers

14.2 Without limiting the generality of the above, the Company does not warrant that:

  • The Platform will be uninterrupted, secure or error‑free.
  • Defects will be corrected promptly.

14.3 Marketplace listings, veterinary inputs and financial information may be provided by third parties; the Company does not endorse, verify or warrant such third‑party content unless expressly stated.fysitech+1​

15. Limitation of Liability

15.1 To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with your use or inability to use the Platform or services.genieai+1​

15.2 To the extent any liability arises and cannot be excluded, the aggregate liability of the Company for all claims in any 12‑month period shall not exceed the total fees actually paid by you to the Company for the specific service giving rise to the claim in that period.genieai+1​

16. Indemnity

16.1 You agree to indemnify, defend and hold harmless the Company, its directors, officers, employees, agents and partners from and against any and all claims, demands, actions, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use or misuse of the Platform or IoT devices.
  • Your breach of these Terms, the Privacy Policy or applicable law.
  • Your infringement of any intellectual property or other rights of a third party.

17. Suspension, Blocking and Termination

17.1 The Company may, with or without notice and subject to applicable law, temporarily or permanently:

  • Suspend or restrict your access to the Platform (or any part of it).
  • Disable or close your account.
  • Remove or modify content you have provided.

If the Company reasonably believes you have violated these Terms, engaged in fraud, abuse, security risk, slaughter‑related misuse, or are required to be restricted under law or order of authority.registerkaro​

17.2 Use of the Platform for slaughter‑related purposes as described in Clause 3A shall be treated as a material breach justifying immediate suspension or termination without notice.registerkaro​

17.3 You may terminate your account by following in‑app or website instructions or by contacting support; termination does not relieve you of any payment obligations incurred before termination and certain clauses (including IP, limitation of liability, indemnity and dispute resolution) will survive termination.genieai​

18. Third‑Party Links and Services

18.1 The Platform may contain links to third‑party websites, apps, content or services that are not owned or controlled by the Company; access to such resources is at your own risk and subject to the terms and policies of those third parties.termly+1​

18.2 The inclusion of any third‑party link or integration does not imply endorsement or affiliation unless expressly stated.termly​

19. Changes to Terms

20. Governing Law and Dispute Resolution

20.2 Parties shall first attempt to resolve disputes amicably through good‑faith negotiations within a reasonable period. 21. Severability, Waiver and Assignment
